Organization Partnership Agreement
This agreement governs the relationship between Juncu S.r.l. and local organizations ("Organizations") that act as referral partners for provider onboarding.
1. Legal Framework (Referral / Procacciamento d'affari)
The Organization acts as an independent partner that promotes the Platform among local service providers. There is no agency, representation, or employment relationship between the parties. The Organization does not provide tourist services and is not a party to the contract between the User and the Provider.
2. Revenue Share Model
The Organization is entitled to compensation equal to a percentage of the net Service Fee (or per-cover fee for restaurants) effectively collected by Juncu from transactions generated by Providers affiliated with the Organization, as agreed separately between the parties. Compensation accrues only upon service completion — no commission is due on refunded or cancelled bookings.
3. Payments and Stripe Connect
The Organization agrees to receive payouts via Stripe Connect, typically on a monthly basis.
4. Invoicing Obligations
To receive Revenue Share payments, the Organization must issue a valid electronic invoice (or equivalent document if under special tax regime or non-profit status) to Juncu S.r.l. (description: "Provvigioni/Segnalazione"). Juncu reserves the right to suspend payouts in the absence of such fiscal document.
5. Set-off and Negative Balances
If, due to refunds or chargebacks, the Organization's balance becomes negative (debt to Juncu), the Organization authorizes Juncu to offset such debt by deducting the amount from future payouts.
6. Onboarding Responsibility
While the Organization assists Juncu in onboarding Providers, it is not liable for the quality of the final tourist service. However, the Organization commits to not knowingly introducing fictitious, fraudulent Providers or Providers lacking the minimum legal requirements onto the Platform.
